Terms and Conditions
1. Millionaire Commerce: Millionaire Commerce, a brand owned by 247 Enterprise FZCO established in Dubai.
2. Client: the person with whom Millionare Commerce has entered into an agreement.
3. Parties: Millionaire Commerce and client together.
4. Consumer: a client who is also an individual acting as a private person.
1. These terms and conditions shall apply to all quotations, offers, work, orders, agreements and deliveries of services or products by or on behalf of Millionaire Commerce.
2. The parties may only deviate from these terms and conditions if they have expressly agreed to do so in writing.
3. The parties expressly exclude the applicability of additional and/or deviating general terms and conditions of the client or third parties.
1. All prices used by Millionaire Commerce are in euros, are inclusive of VAT and exclusive of any other costs such as administration costs, levies and travel, shipping or transport costs, unless expressly stated otherwise or agreed otherwise.
2. All prices used by Millionaire Commerce for its products or services, on its website or otherwise made known, Millionaire Commerce may change at any time.
3. Increases in the cost prices of products or parts thereof, which Millionaire Commerce could not foresee at the time of making the offer or entering into the agreement, may give rise to price increases.
4. The consumer is entitled to dissolve an agreement as a result of a price increase as referred to in paragraph 3, unless the increase is the result of a statutory regulation.
5. The price relating to a service is determined by Millionaire Commerce on the basis of the hours actually spent.
6. The price shall be calculated according to the usual hourly rates of Millionaire Commerce, valid for the period in which he performs the work, unless a different hourly rate has been agreed upon.
8. Millionaire Commerce shall be entitled to deviate up to 10% from the target price.
9. If the target price is going to be more than 10% higher, Millionaire Commerce shall inform the client in good time why a higher price is justified.
10. Should the guide price be more than 10% higher, the client shall be entitled to cancel that part of the order which exceeds the guide price plus 10%.
11. Millionaire Commerce has the right to adjust the prices monthly.
12. Prior to their effective date, Millionaire Commerce will communicate price adjustments to the client.
13. The consumer has the right to terminate the agreement with Millionaire Commerce if he does not agree with the price increase.
1. Millionaire Commerce may require a down payment of up to 50% of the agreed amount upon entering into the agreement.
2. The customer must have made payments in arrears within 7 days after delivery of the product.
3. Payment deadlines shall be considered fatal payment deadlines. This means that if the client has not paid the agreed amount at the latest on the last day of the payment period, he will be legally in default and in default, without Millionaire Commerce having to send the client a reminder or give notice of default.
4. Millionaire Commerce reserves the right to make a delivery subject to immediate payment or to require security for the total amount of the services or products.
1. If the client fails to pay within the agreed period, Millionaire Commerce shall be entitled to charge interest of 1% per month from the day the client is in default, whereby a part of a month shall be counted as a whole month.
2. If the client is in default, he shall also owe extrajudicial collection costs and any damages to Millionaire Commerce.
3. The collection costs shall be calculated on the basis of the Decree on compensation for extrajudicial collection costs.
4. If the client fails to pay on time, Millionaire Commerce may suspend its obligations until the client has fulfilled its payment obligation.
5. In case of liquidation, bankruptcy, attachment or suspension of payment on the part of the client, the claims of Millionaire Commerce on the client shall be immediately due and payable.
6. If the client refuses to cooperate in the execution of the agreement by Millionaire Commerce, he shall still be obliged to pay the agreed price to Millionaire Commerce.
1. Once the Customer is in default, Millionaire Commerce shall be entitled to invoke the right of complaint with respect to the unpaid products delivered to the Customer.
2. Millionaire Commerce shall invoke the right of complaint by means of a written or electronic communication.
3. As soon as the client has been informed of the invoked right of complaint, the client must immediately return the products to which this right relates to Millionaire Commerce, unless the parties make other agreements in this regard.
4. The costs of retrieving or bringing back the products shall be borne by the client.
In regards to this please understand that we do not offer any services to consumers. We offer coaching and consulting for business owners who want to start or grow their business. So all investments and purchases made with us will be seen as business related investments / purchases.
- it is not a product that can spoil quickly, such as food or flowers
- It is not a product that has been customized or adapted especially for the consumer
- it is not a product that cannot be returned for hygienic reasons (underwear, swimwear, etc.)
- the seal is still intact, if it involves data carriers with digital content (DVDs, CDs, etc.)
- the product is not a trip, transport ticket, catering order or form of leisure activity
- the product is not an individual magazine or newspaper
- The product is not an emergency repair or order.
- the consumer has not waived his right of withdrawal.
2. The withdrawal period of 14 days as mentioned in paragraph 1 starts :
- on the day after the consumer has received the last product or part of 1 order
- as soon as the consumer has received the first product of a subscription
- as soon as the consumer has received a service for the first time
- as soon as the consumer has confirmed that he will purchase digital content via the Internet
4. The consumer shall be obliged to return the product to Millionaire Commerce within 14 days after making his right of withdrawal known, failing which his right of withdrawal shall lapse.
5. The costs of return shall only be borne by Millionaire Commerce if the entire order is returned.
6. If the purchase costs and any other costs (such as shipping and return costs) are eligible for reimbursement under the law, Millionaire Commerce will refund these costs to the consumer within 14 days of receiving the timely invocation of the right of withdrawal, provided that the consumer has returned the product to Millionaire Commerce in a timely manner.
(Remember that if an agreement is signed this agreement is always leading)
Unless the customer is a consumer, the customer waives the right to suspend performance of any obligation arising from this agreement.
Right of retention
1. Millionaire Commerce may invoke its right of retention and, in that case, retain products of the client until the client has paid all outstanding bills against Millionaire Commerce, unless the client has provided adequate security for those costs.
2. The right of retention also applies by virtue of previous agreements from which the client still owes payments to Millionaire Commerce.
3. Millionaire Commerce shall never be liable for any damage that the client may suffer as a result of exercising its right of retention.
Unless the customer is a consumer, the customer waives its right to set off any debt owed to Millionaire Commerce against any claim against Millionaire Commerce.
Retention of title
1. Millionaire Commerce shall remain the owner of all products delivered until the client has fully complied with all his payment obligations towards Millionaire Commerce pursuant to any agreement entered into with Millionaire Commerce, including claims for failure to perform.
2. Until such time Millionaire Commerce may invoke its retention of title and repossess the goods.
3. Before ownership has passed to the customer, the customer may not pledge, sell, alienate or otherwise encumber the products.
4. If Millionaire Commerce invokes its retention of title, the agreement shall be deemed terminated and Millionaire Commerce shall be entitled to claim damages, lost profits and interest.
1. Delivery will take place while supplies last.
2. Delivery takes place at Millionaire Commerce, unless the parties have agreed otherwise.
3. Delivery of products ordered online takes place at the address indicated by the customer.
4. If the agreed amounts are not paid or not paid on time, Millionaire Commerce shall be entitled to suspend its obligations until the agreed part is still paid.
5. Late payment shall constitute creditor default, with the consequence that the client cannot hold a late delivery against Millionaire Commerce.
1. The delivery times given by Millionaire Commerce are indicative and if exceeded do not entitle the client to rescission or damages, unless the parties have expressly agreed otherwise in writing.
2. The delivery period shall commence at the moment the client has fully completed the (electronic) ordering process and has received (electronic) confirmation thereof from Brand Building Secrets.
3. Exceeding the stated delivery time shall not entitle the client to compensation or the right to terminate the agreement, unless Millionaire Commerce is unable to deliver within 14 days after being reminded in writing or the parties have agreed otherwise.
The customer must ensure that the actual delivery of the products ordered by him can take place in a timely manner.
Transport costs
Transportation costs shall be borne by the customer, unless the parties have agreed otherwise in this regard.
Packaging and shipment
1. If the packaging of a delivered product has been opened or damaged, then the customer must, before taking receipt of the product, have a note made of this by the forwarding agent or, as the case may be, the delivery agent, failing which Millionaire Commerce cannot be held liable for any damage.
2. If the client takes care of the transport of a product himself, he must report any visible damage to the products or the packaging to Millionaire Commerce prior to transport, failing which Millionaire Commerce cannot be held liable for any damage.
1. The customer undertakes to adequately insure and keep insured the following items against, among other things, fire, explosion and water damage as well as theft:
- delivered goods that are necessary for the execution of the underlying agreement
- items belonging to Millionaire Commerce that are present on the client's premises
- goods delivered under retention of title.
2. The client shall make the policy of these insurances available for inspection at the first request of Millionaire Commerce.
Retention
1. If the client does not take delivery of ordered products until later than the agreed delivery date, the risk of any loss of quality is entirely for the client.
2. Any additional costs resulting from premature or delayed acceptance of products shall be borne entirely by the customer.
1. When the parties have entered into an agreement with a service character, it contains for Millionaire Commerce only obligations of effort, not obligations of result.
2. The warranty with respect to products applies only to defects caused by faulty manufacturing, construction or material.
3. The warranty does not apply in the case of normal wear and tear and damage caused by accidents, modifications made to the product, negligence or incompetent use by the customer, as well as when the cause of the defect cannot be clearly determined.
4. The risk of loss, damage or theft of the products that are the subject of an agreement between the parties is transferred to the customer at the time they are legally and/or actually delivered, or at least come into the control of the customer or of a third party who takes delivery of the product on behalf of the customer.
1. Millionaire Commerce shall execute the agreement to the best of its knowledge and ability and in accordance with the requirements of good workmanship.
2. Millionaire Commerce is entitled to have the agreed services (partially) performed by third parties.
3. The execution of the agreement shall take place in mutual consultation and after written agreement and payment of any agreed advance by the client.
4. It is the responsibility of the client that Millionaire Commerce can start the execution of the agreement in time.
5. If the client has not ensured that Millionaire Commerce can begin the execution of the agreement in a timely manner, the resulting additional costs and/or additional hours shall be borne by the client.
1. The client shall make all information, data and documents relevant to the correct execution of the agreement available to Millionaire Commerce in a timely manner and in the desired form and manner.
2. The client guarantees the accuracy, completeness and reliability of the information, data and documents made available, also if they originate from third parties, insofar as the nature of the agreement does not dictate otherwise.
3. If and to the extent requested by the client, Millionaire Commerce shall return the documents in question.
4. If the client fails to make available the information, data or documents reasonably required by Millionaire Commerce, or fails to do so on time or properly, and the execution of the agreement is delayed as a result, the resulting extra costs and extra hours shall be for the account of the client.
1. The agreement between Millionaire Commerce and the client is entered into for an indefinite period, unless something else follows from the nature of the agreement or the parties have expressly agreed otherwise in writing.
2. If an agreement has been entered into for a definite period, then after the expiry of the term it shall be tacitly converted into an agreement for an indefinite period of time, unless 1 of the parties cancels the agreement with due observance of a notice period of 2 month(s), c.q. a consumer cancels the agreement with due observance of a notice period of 1 month then the agreement ends by operation of law.
3. If the parties have agreed on a term for the completion of certain work within the term of the contract, this is never a deadline. If this term is exceeded, the client must give Millionaire Commerce written notice of default.
1. The customer may terminate an agreement entered into for an indefinite period at any time subject to a notice period of 2 months.
2. A consumer has the right to terminate an agreement entered into for an indefinite period of time subject to 1 month's notice.
Intellectual property
1. Millionaire Commerce retains all intellectual property rights (including copyright, patent rights, trademark rights, drawings and models, etc.) on all designs, drawings, writings, carriers with data or other information, quotations, images, sketches, models, models, etc., unless the parties have agreed otherwise in writing.
2. The client may not copy, show and/or make available to third parties or otherwise use the said intellectual property rights without the prior written consent of Millionaire Commerce.
1. The client shall keep confidential any information received (in any form) from Millionaire Commerce.
2. The same applies to any other information concerning Millionaire Commerce of which he knows or can reasonably suspect that it is secret or confidential, or of which he can expect that its dissemination may harm Millionaire Commerce.
3. The client shall take all necessary measures to ensure that he also keeps the information mentioned in paragraphs 1 and 2 secret.
4. The duty of confidentiality described in this article does not apply to information:
o which was already public before the customer learned of it or which subsequently became public without this being the result of a breach of the customer's duty of confidentiality
o which is disclosed by the customer pursuant to a legal obligation
5. The confidentiality obligation described in this article applies for the duration of the underlying agreement and for a period of 3 years after its expiration.
1. If the client violates the article of these general terms and conditions on confidentiality or on intellectual property, he forfeits for the benefit of Millionaire Commerce an immediately payable fine of €10,000 for each violation and, in addition, an amount of 5% of the aforementioned amount for each day that such violation continues.
2. The forfeiture of this penalty shall not require prior notice of default or judicial proceedings. Neither does it require any form of damages.
3. The forfeiture of the fine referred to in the first paragraph of this article does not affect the other rights of Millionaire Commerce including its right to claim damages in addition to the fine.
The client indemnifies Millionaire Commerce against all third party claims related to the products and/or services provided by Millionaire Commerce.
Complaints
1. The client must examine a product delivered or service provided by Millionaire Commerce for any shortcomings as soon as possible.
2. If a product delivered or service provided does not comply with what the client could reasonably expect from the agreement, the client must notify Millionaire Commerce of this as soon as possible, but in any case within 1 month after the shortcomings have been discovered.
3. Consumers must notify Millionaire Commerce at the latest within 2 months after the discovery of the shortcomings.
4. The Customer shall provide as detailed a description as possible of the shortcoming, so that Millionaire Commerce is able to respond adequately.
5. The client must demonstrate that the complaint relates to an agreement between the parties.
6. If a complaint relates to work in progress, this may in any case not result in Millionaire Commerce being held to perform work other than that agreed upon.
1. The client must give written notice of default to Millionaire Commerce
2. It is the responsibility of the client that a notice of default actually reaches Millionaire Commerce (on time).
Joint and several liability of the client
If Millionaire Commerce enters into an agreement with several clients, each of them shall be jointly and severally liable for the full amounts owed to Brand Millionaire Commerce under that agreement.
1. Millionaire Commerce shall only be liable for any damage suffered by the client if and insofar as such damage is caused by intentional or deliberate recklessness.
2. If Millionaire Commerce is liable for any damage, it shall only be liable for direct damage resulting from or related to the execution of an agreement.
3. Millionaire Commerce shall never be liable for indirect damages, such as consequential damages, lost profits, missed savings or damages to third parties.
4. If Millionaire Commerce is liable, this liability shall be limited to the amount paid out by a concluded (professional) liability insurance and in the absence of (full) payment by an insurance company of the amount of the damage, the liability shall be limited to the (part of the) invoice amount to which the liability relates.
5. All images, photographs, colors, drawings, descriptions on the website or in a catalog are only indicative and are only approximate and cannot be a reason for compensation and/or (partial) dissolution of the agreement and/or suspension of any obligation.
Any right of the client to compensation from Millionaire Commerce shall in any event lapse 12 months after the event from which the liability arises directly or indirectly. This does not exclude the provisions of article 6:89 of the Civil Code.
Right of termination
1. The client is entitled to dissolve the agreement if Millionaire Commerce imputably fails in the fulfillment of its obligations, unless this failure, in view of its special nature or minor importance, does not justify the dissolution.
2. If the fulfillment of the obligations by Millionaire Commerce is not permanently or temporarily impossible, dissolution may only take place after Millionaire Commerce is in default.
3. Millionaire Commerce shall be entitled to dissolve the agreement with the client if the client does not comply with his obligations under the agreement in full or in a timely manner, or if Millionaire Commerce has become aware of circumstances that give him good reason to fear that the client will not be able to comply with his obligations properly.
1. In addition to the provisions of article 6:75 of the Dutch Civil Code, a shortcoming of Millionaire Commerce in the fulfillment of any obligation towards the client cannot be attributed to Millionaire Commerce in a situation independent of the will of Millionaire Commerce, as a result of which the fulfillment of its obligations towards the client is wholly or partly prevented or as a result of which the fulfillment of its obligations cannot reasonably be required of Millionaire Commerce.
2. The force majeure situation mentioned in paragraph 1 also includes - but is not limited to - the following: state of emergency (such as civil war, insurrection, riots, natural disasters, etc.); defaults and force majeure of suppliers, deliverers or other third parties; unexpected power, electricity, internet, computer and telecom failures; computer viruses, strikes, government measures, unforeseen transport problems, bad weather conditions and work interruptions.
4. From the moment that a force majeure situation has lasted for at least 30 calendar days, both parties may dissolve the agreement in writing in whole or in part.
5. In a force majeure situation, Millionaire Commerce shall not owe any (compensation), even if it enjoys any advantage as a result of the force majeure situation.
If, after the conclusion of the agreement for its execution, it appears necessary to modify or supplement its content, the parties shall promptly and by mutual agreement modify the agreement accordingly.
Amendment of general terms and conditions
1. Millionaire Commerce shall be entitled to amend or supplement these general terms and conditions.
2. Amendments of minor importance may be made at any time.
3. Major substantive amendments will be discussed by Millionaire Commerce with the client in advance as much as possible.
4. Consumers are entitled to terminate the contract in the event of a substantial change to the general terms and conditions.
1. Rights of the client from an agreement between the parties cannot be transferred to third parties without the prior written consent of Millionaire Commerce.
2. This provision shall be considered a clause with effect under property law as referred to in article 3:83, second paragraph, Civil Code.
Consequences of nullity or voidability
1. Should one or more provisions of these general terms and conditions prove to be void or voidable, this shall not affect the other provisions of these terms and conditions.
2. A provision that is void or voidable shall in that case be replaced by a provision that comes closest to what Millionaire Commerce had in mind when drafting the terms and conditions on that point.
Affiliate Commissions
1.1 Eligibility Affiliate commissions may be available for select products and services offered by Millionaire Commerce. It is important to note that affiliate commissions are not automatically applicable to all products or services. A representative from Millionaire Commerce will notify the affiliate partner if a specific product or service is eligible for affiliate commissions.
2. Commission Claim Procedure
2.1 Timely Claims Affiliate partners must submit commission claims promptly after the payment for a referred customer's purchase has been received by Millionaire Commerce. The affiliate partner is required to initiate the commission claim process within 30 days from the date of the payment.
2.2 Delayed Claims In cases where commission claims are submitted later than 30 days after the payment is received, Millionaire Commerce reserves the right to reduce the affiliate's commission by 50% as a result of the delayed claim,
2.3 Extended Delay If a commission claim is submitted more than 3 months after the payment is received, Millionaire Commerce retains the discretion to waive the entire commission amount. This action may be taken in response to a significant delay in claiming commissions, indicative of a lack of sustained effort from the affiliate partner.
